Terms of Service — AscendAI Coach

1. Agreement to Terms

These Terms of Service ("Terms") are a legal agreement between you and AscendAI Coach ("we", "us", or "our"). By accessing or using the AscendAI Coach platform ("Service"), you agree to be bound by these Terms. If you do not agree, do not use the Service.

AscendAI Coach is a product of Corton Labs, a sole proprietorship operated by Anitta Corton, Toronto, Ontario, Canada. These Terms are governed by Ontario law.

You must be at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.

2. Description of Service

AscendAI Coach is an AI-powered platform for mindset coaches. The Service includes tools for client management, goal setting, gamified accountability, automated check-ins, and analytics. We may update, modify, or discontinue features at any time.

3. Accounts and Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to:

Provide accurate, current, and complete information when creating your account
Keep your password secure and not share it with any third party
Notify us immediately at legal@ascendaicoach.com if you become aware of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that contain false or misleading information.

4. Acceptable Use

You agree not to use the Service in any way that is unlawful, harmful, or violates the rights of others. Prohibited activities include:

Using the Service for any illegal purpose or in violation of any applicable law
Transmitting spam, malware, or other harmful code
Attempting to interfere with or compromise the security or integrity of the Service
Reverse engineering, decompiling, or disassembling any part of the Service
Scraping, crawling, or harvesting data from the platform without our written consent
Impersonating any person or entity
Using the Service to build or operate a directly competing product
Sharing your account or subscription access with unauthorized third parties

We reserve the right to suspend or terminate access for any user who violates these terms, without notice and without refund.

5. AI-Generated Content

AscendAI Coach uses artificial intelligence to generate coaching insights, session notes, goal suggestions, and other content. You acknowledge and agree that:

AI-generated outputs are suggestions only and must not replace your professional judgment or expertise as a coach
You are solely responsible for reviewing, editing, and approving any AI output before using it with clients
AI outputs may be inaccurate or incomplete — verify all information independently before relying on it
You retain full responsibility for all client interactions and decisions based on AI outputs
You are responsible for ensuring your use of the Service complies with all applicable coaching, therapeutic, and professional regulations in your jurisdiction

6. Your Clients' Data — Your Responsibility as Data Controller

When you enter personal information about your coaching clients into the Service — including their names, goals, progress milestones, check-in responses, and session notes — you are the data controller for that data. AscendAI Coach processes this data only to provide the Service to you, strictly on your behalf.

As data controller, you are responsible for:

Informing your clients that their personal data is stored through a third-party platform
Obtaining any consent required under applicable privacy laws in your jurisdiction before entering client data into the platform
Ensuring your coaching practice complies with applicable data protection laws, including PIPEDA (Canada), GDPR (EU/UK), or applicable US state laws

We will never use your clients' data for our own marketing, analytics, or AI model training, and we will never sell it.

7. Payment and Subscriptions

Free Trial: AscendAI Coach offers a 7-day free trial with full access to all features. No payment information is required to begin your trial. If you do not cancel before the trial ends, your selected subscription plan will activate and your payment method will be charged. You may cancel at any time during the trial at no cost.

Billing: Subscription fees are billed in advance on a recurring monthly or annual basis depending on your selected plan. You may cancel at any time from your account settings. Access continues until the end of your current billing period. Cancellation does not automatically trigger a refund — see our Refund Policy for eligibility details.

Payment Processing: Payments are processed securely by Stripe (stripe.com). We do not store your full payment card details on our servers. By subscribing, you agree to Stripe's terms of service and privacy policy. We intend to transition to Lemon Squeezy as our Merchant of Record in the future. Active subscribers will be notified in advance of any changes to payment processing.

Pricing Changes: We reserve the right to change subscription pricing at any time. Where changes affect active subscribers, we will provide at least 30 days' written notice before new pricing takes effect.

Failed Payments: If a scheduled payment fails, we will attempt to notify you by email. Access may be suspended until payment is successfully processed.

Taxes: Prices are listed exclusive of applicable taxes. Where required by law, taxes including GST/HST or other applicable sales taxes may be added to your subscription price depending on your location.

8. Cancellation

You may cancel your subscription at any time through your account settings or by contacting billing@ascendaicoach.com. Cancellation takes effect at the end of the current billing period. You will retain access to the Service until that date. We do not charge cancellation fees.

9. Intellectual Property

AscendAI Coach and Corton Labs retain all rights, title, and interest in and to the Service, including all software, code, designs, trademarks, and content. You are granted a limited, non-exclusive, non-transferable licence to use the Service in accordance with your selected plan for your own personal or internal business purposes.

You retain ownership of all data and content you input into the Service. By using the Service, you grant us a limited licence to host, process, and transmit your content solely to provide the Service to you.

Any output you generate through the Service using your own data and inputs remains your intellectual property. We make no claim over such output.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee that the Service will be uninterrupted, error-free, or secure. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Corton Labs and Anitta Corton shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or data, arising from your use of the Service, even if advised of the possibility of such damages.

Our aggregate liability to you for any claim arising from these Terms or the Service is limited to the total amount you paid us in the 12 months preceding the claim.

Nothing in these Terms limits liability for fraud, gross negligence, or any other liability that cannot be excluded under applicable law.

12. Indemnification

You agree to indemnify and hold harmless Corton Labs, Anitta Corton, and their agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of your use of the Service, your content, or your violation of these Terms.

13. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for any reason including material breach of these Terms, non-payment, security risk, or fraud. Upon termination, your right to use the Service ceases immediately.

14. Governing Law and Disputes

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada. Any dispute shall first be attempted to be resolved informally by contacting legal@ascendaicoach.com. If informal resolution is not possible within 30 days, disputes shall be submitted to the exclusive jurisdiction of the courts of Ontario, Canada.

15. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email or through the platform. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
